Victor: I'm not arguing that. If you are determined to go ahead with an acquisition, then I'm not standing in your way.

Neil: Hello, Victor, Vicki, both of you. So what's the latest news?

Victoria: I just got off the phone with Charles Davis.

Neil: Satine's attorney?

Neil: They don't know?

Victoria: That we're behind it? No, not a clue.

Neil: Great.

Victoria: So now we wait.

Victor: Don't you worry. They'll fold.

Victoria: How can you be so sure?

Victor: Because I know that Jabot has limited cash reserves. It would be a dumb business move on their part to stretch themselves too far to acquire a company they don't really need.

Victoria: Since they have Ashley, you mean? Their secret weapon.

Victor: It would be a horse race now if they had an inkling who they're up against. Jack Abbott would see to that.

John: Are you telling me that the Satine acquisition is dead?

Jack: No, no. I didn't say it's dead.

Ashley: But it could be in serious jeopardy, dad.

John: Well, I don't understand. Now the last time I talked to you, I got the distinct impression that this is practically a done deal.

Jack: No, another company made a counterbid.

John: Fine, what company?

Jack: We don't know.

John: What are they offering?

Jack: We don't know that, either.

John: Oh, jack.

Ashley: You know what? We should have moved sooner.

Jack: If you're blaming me for this...

Ashley: I'm not blaming you. I'm just saying that if we had signed the papers a week ago, we wouldn't be in this situation because Satine would be ours.

John: Sweetheart, I know you're worried about this, but nobody could have foreseen it. I mean, another company making an offer at the last minute?

Jack: No, I'm afraid this one we're gonna have to chalk up to bad luck.

Ashley: Or maybe there's another explanation.

Phyllis: Hey! A coffee, please.

Phyllis: You know, what kind of game are you playing?

Dru: I beg your pardon?

Phyllis: Neil sent you.

Dru: For what?

Phyllis: He wants me to admit that I've been trading company secrets with my husband.

Dru: Whoa, you're really jamming me up here, Phyllis.

Phyllis: This is his way of justifying firing me.

Dru: No, Phyllis, I had no idea.

Phyllis: You know, I gotta tell you, this whole thing--this whole thing you're doing here just proves to me that I'm right. Your, I don't know, boyfriend, husband, ex-husband, whatever and Victoria have something major going on, and they don't want me to be a part of it. Okay? Yep, that's what it is. Let me tell you something. You tell Neil that I would expect this kind of behavior from Victoria, but I honestly thought he was above it.

Larry: Are you sure that is really...

Devon: Is there a problem?

Larry: Well, there may be. There was a man that cam in here a little earlier with a woman, and they were looking for a birth record.

Devon: I got in a lot of trouble with my supervisor because of them.

Larry: And where is your supervisor?

Devon: Out. I'm not sure when she'll be back.

Larry: Okay, well, I need to you to--

Devon: Can you believe that woman told me she was dying? That's just so uncool. I felt sorry for her, and it was a lie.

Larry: Well, that's bad, but I need to see that record.

Devon: Why?

Devon: No, I can't. We have to wait until Mrs. French gets back.

Larry: Listen, girlie, I don't have time to screw around with this. I need that record now to make the report, all right?

Jill: Oh, Larry, I hope you were kidding about getting involved. We have to be so careful how we go about this.

Kay: Poor Jill talking to herself. It's the only way she can find anyone interested in what she has to say.

Jill: What the hell are you doing here, Katherine?

Kay: Oh, do I have to justify my presence to you? I have friends, many, many friends in this company.

Jill: Oh, please. Don't you know that people are only nice to you because you're old? Don't mistake that for friendship. Now what can I do for you?

Kay: Well, what you can do for everyone. Just loosen up.

Jill: You know what? This is good. This is good. Okay, because I was having a lot of trouble kick-starting my day. I needed, you know, an irritant, like a grain of sand in an oyster, but now you have given me this shot of adrenaline. Thank you. Thank you. I'm ready to go. I'm ready to whip my weight in wildcats. Okay, you can go now. What?!

John: All right, Ashley. What are you thinking?

Ashley: Is it possible that Satine spread the word to other companies that we were interested to create a bidding war?

Jack: I suppose it's possible, yeah.

John: Are there any firms in this area we know of looking to expand?

Jack: Not that I know of. Ash?

Ashley: Not me, either.

Jack: You know, there is another possibility here.

John: Yeah, what's that?

Jack: They're bluffing. This whole thing is a big bluff. They tell us another company's sniffing around to spook us into throwing out more money.

Ashley: Oh, but it's strange that they would do that. I mean, they didn't make it a secret that they were anxious to sell. They came to us. 3E711748.JPG

John: That's true, but the question is, what are we willing to pay?

Jack: The original asking price is $20 million. We've already offered 18.

John: Sounds reasonable.

Jack: It's more than reasonable. However, we may have to cough up another couple million dollars to meet their asking price.

John: I'm okay with that.

Jack: You're sure?

John: On one condition. That we all agree that $20 million is our ceiling.

Ashley: Definitely.

Jack: Absolute tops, yeah.

John: Fine, now that that's settled, let's move to plan B. Now if the Satine deal falls through, what do you think our next step should be?

John: Launch our own line of products for African American women?

Jack: Yes, we'll delay the rollout date, but, dad, we're not starting from scratch. We have the resources.

John: Ashley?

Ashley: Satine would have been a golden opportunity for us, but if it doesn't work out, I think we should forge ahead on our own.

John: And I understand you've done some product development.

Ashley: Yeah, I've had my staff working on some ideas.

John: Oh, good. I'd like to see them as soon as possible.

Jack: You guys, keep in mind, this is all moot if things go well with this attorney, which have every reason to believe they will.

Jack: I've got enough confidence for both of us, believe me. By the end of today, Satine cosmetics will be a Jabot holding. You mark my word.

Neil: Well, it sounds like we have our ducks lined up in a row.

Victoria: If we win this.

Neil: Oh, you don't want to jinx it, huh?

Victor: There's one thing you've overlooked.

Victoria: What's that?

Victor: That's the internet. You're losing a hell of a webmaster.

Neil: You know about that already?

Victor: On the contrary, I think you may be making a major mistake.

Victoria: Why?

Victor: Think about it. Phyllis is talented, dedicated and discreet. She not once while working for you and doing a hell of a job betrayed the corporate confidence, did she?

Victoria: You sound like Phyllis talking.

Victor: She made a very good case on her own behalf.

Victoria: Whoa, wait a second. She came to you? E went over my head?

Victor: I think if you had been in her position, you would have done the same thing.

Victoria: I think this proves that she can't be trusted.

Neil: You know, Victoria does have a good point. Once we acquire Satine and start moving ahead, we're gonna be competing with Jabot on a whole new level.

Victoria: It's gonna be a lot more intense. It's gonna be a lot more than just about our teen division competing with theirs.

Neil: And if I may say, I think it's a hell of a lot to ask of Phyllis to put in 60 hours a week while trying to bury her husband's company.

Victoria: I don k know why we should take the risk if we don't have to.

Victor: I'll tell you why. There's no evidence that the risk would increase. Meanwhile, you're losing a valuable employee.

Victoria: I don't understand why you're hassling me about this you've always questioned Phyllis' loyalty. Otherwise, you never would have restricted her access to the Newman database.

Victor: Restraints are one thing, but to let someone who has contributed as much as she has go on the eve of a major expansion is quite another.

Victoria: Well, the bottom line is, she works for me, and it's my call.

Victor: A call that should only be made after you've examined all angles.

Neil: Victor, are you suggesting that we haven't?

Victor: You've talked about the risk of keeping her. We have not, however, talked about the risk of letting her go.

Dru: Can I clarify something with you, Phyllis?

Phyllis: No.

Dru: I did not know that you got fired. I swear to you. I think you got a raw deal.

Phyllis: Who know what? Thank you.

Dru: You hit the nail on the head. Jabot cosmetics, Newman enterprises. They're going head-to-head on something really big. Rolling out with this new African American cosmetics line. I gotta tell you though, I can't blame Victoria for not wanting to deal with your drama. Your husband's at Jabot. You're at Newman, you know?

Phyllis: Right, right. So this line is the one you'll be the spokeswoman for?

Dru: Yeah, right. Jabot. They offered me such a sweet deal. You would never believe. But I got a problem.

Phyllis: What is it?

Dru: My husband offered me a deal, too. Same situation.

Phyllis: Wow, wow. For the Newman line?

Dru: Yeah, right. But I gotta pass. It stinks, because the competition's offer was so much better. Loads of responsibility, prestige. And between you and me, I am not looking forward to the day when I have to give that whole speech on divided loyalties.

Phyllis: Right.

Dru: Anyway, I hope that this really clarifies things for you. You know, I hope.

Phyllis: Yeah, oh, sure. Sure, it does.

Dru: Well, I'd love to sit and have cocoa with you, but I gotta go sign my contract with Jabot. I'll check you later.

Phyllis: Oh, good. Good luck.

Dru: Hey, listen, if it's any consolation, I just want you to know that I know that Jabot is making much smarter choices than Newman enterprises. We're gonna blow them out of the water, and I hope that makes you feel a lot better about yourself, since you got kicked to the curb. Right? Okay.

Phyllis: Right. Thank you.

Neil: Okay, so then what you're saying is Jabot might snap her up, using Phyllis' talents to further their own cause.

Victor: That's one scenario.

Victoria: I think dad's worried about more than that.

Victor: Why don't you think about it for a minute? What if she isn't trustworthy?

Victoria: You're talking about sabotage.

Victor: She designed the entire web site. She knows more than anyone.

Neil: If she leaves here feeling like she got screwed over...

Victor: I don't think you would want her as an enemy. I'm going to the hospital to see Cassie, okay? Meanwhile, I suggest you call Phyllis and have a talk with her.

Davis: Mr. Peabody sends his regards. He wanted to be here today, but he's tied up in meetings in Atlanta.

Jack: Oh, we understand. Please give him our best.

Davis: Sure.

Jack: Please, have a seat.

Davis: Thank you. I should tell you Mr. Peabody has instructed me to settle this matter as quickly as possible.

Jack: To tell you the truth, we thought it was already settled.

Davis: Well, as did we, but that was before we got the second bid.

Jack: Yeah, quite a fortunate turn of events for your client.

Davis: Well, of course not. Mr. Peabody has a great deal of admiration for your family. He was disappointed last year when your deal fell through.

Jack: Well, what do you say we see to it that that doesn't happen again? Mr. Peabody's original asking price was $20 million. While he gave me reason to think that there was room for some bargaining, we are now prepared to offer the full 20.

Davis: I see.

Jack: So that should end negotiating. What do you say we finish this up?

Davis: Well, I'm afraid the circumstances have changed, Mr. Abbott.

Davis: Well, their bid stands at $25 million. so, it was called cattle point. Of the nation, and subsequently of us here. Your cruise director, Ron

Jill: Okay, just stand there. I'm not gonna let you upset me. I'll work around you. I have to warn you, though. Someone may drop a coat over you.

Kay: Shut up. Just shut up. When I tell you what I came to tell you, I will gladly leave.

Jill: Wonderful. Let's hear it.

Kay: I just came from the hospital.

Jill: You look healthy enough to me, unfortunately.

Kay: I was visiting your mother.

Jill: What do you want, a medal?

Kay: And I was glad to do it. Yes, it's wonderful to see Elizabeth looking so wonderful.

Jill: Yeah, I'm sure she appreciates your visits.

Kay: Not even remotely. Why?

Jill: I hope he doesn't.

Kay: Not help you? I hope he doesn't, too. I hope no one does.

Jill: Why do you care?

Kay: It's a travesty. It is a travesty, Jill. Do you understand? You cannot rewrite history.

Jill: I'm not the one who rewrote history! The people who gave me away rewrote history, all right? They took my life, and they put it in a completely different direction.

Kay: Well, a better one, wouldn't you say?

Jill: You know what? I don't know. That's what I intend to find out. But I do not want Larry interfering.

Kay: Why on earth not?

Jill: Because he doesn't know what he's doing, all right? I mean, he just doesn't have a clue how to go about something this delicate.

Larry: Look, um, Devon, I'm sorry about being a little edgy before.

Devon: It's okay. It's just I can't afford to take any more chances. I'm doing this for school credit.

Larry: Yeah, but, look, I'm with security, okay? We're on the same team. And I just want to make sure that you don't get in any more trouble because of this or these people. All right? That's why I need to write up this report.

Devon: Can't you just come back later when my supervisor is here? I mean, she's gonna tear my head off if I mess up again.

Larry: You know, my boss is the same way. He doesn't want to hear any excuses, you know? It's just got to be by the book.

Devon: That's Mrs. French, all right.

Larry: But my boss isn't gonna want to hear that this pretty little girl down in records is being real careful. He's gonna say, "you go the hell down there and tell this pretty girl that we need to write this report." Now look, I'm new to this job, okay, kid? Devon: It's a crime for me to give out these records.

Larry: Yeah, for any john Q. Public guy. Bui I keep telling you, I'm with security.

Devon: Well, then why can't you... you could look in there yourself.

Larry: Especially if you were to take a break. Let's do this. Let's go for it. You know what? No one's gonna find out.

Devon: Give me two seconds. I'll leave the drawer pulled open and the envelope sticking up. You find it yourself. I'll go out the back door and take an early lunch.

Larry: And I never saw you.

Devon: You better not tell anybody.

Larry: Hey, why would I? Look, thank you, Devon, all right? You're a real lifesaver.

Neil: I have to admit, Vicki, your dad made some good points.

Victoria: You want to go back on our decision?

Neil: Phyllis certainly has the know-how. If she wanted to do us in, she could.

Victoria: We need more time to think about this, Neil.

Neil: Vicki, I'm not sure we have that luxury. For all we know, she could be at Jabot right now saying, "the hell with Newman. Where do I sign?"

Victoria: Neil, we can't call her.

(Intercom beeps)

Victoria: Hang on. Yep. You're kidding. Yeah, yeah, go ahead. Send her in.

Neil: Phyllis?

Victoria: Yeah.

Phyllis: Where's Victor?

Victoria: Not here.

Neil: Uh, Phyllis, you got a minute? We'd like to have a word with you.

Kay: You know, I think you're giving this Mr. Warton far too little credit.

Jill: I have all the admiration in the world for Larry. It's just that sometimes, you know, we need to know our limitations.

Kay: (Laughs)

Jill: What?

Kay: Oh, hat?" That is such sage advice coming from someone who has so many limitations. No, come on. Honestly, Jill, I think you should be proud to know a fellow like Larry Warton who cares enough about you to want to help you.

Jill: You see, there are more legal hoops to jump through here than you know. If we screw this up, the judge has a right to keep me in the dark forever, Katherine. Mrs. French: Devon? Devon? Where are... and who might you be?

Larry: I, uh, was just on my way out, ma'am.

Mrs. French: What's this getup you're wearing?

Larry: I'm security.

Mrs. French: Not in this hospital, it isn't. In fact, I think I'm gonna give security a call right now.

Larry: Please, ma'am. Please don't.

Mrs. French: Give me one good reason. Is that ours?

Larry: Look, I... I really need this.

Mrs. French: Well, you can't have it.

Phyllis: Should my ears be burning?

Victoria: No, more like your feet scurrying over here twice in one day.

Phyllis: Oh, like I should feel bad about wanting to talk to someone who's not crucifying me.

Neil: Phyllis, why don't you tell us why you came back to see Victor?

Phyllis: Thanks, but I'll pass.

Victoria: Neil, it's obvious she's pouring on the pressure to get her job back.

Phyllis: No. I told your father the truth, that I was fired unfairly, and I think I got to him, seeing as how you two are so willing to talk to me.

Phyllis: Well, if you care about your company, you'll listen to me before you make that decision.

Victoria: Wow, that sounds like a threat. Doesn't that sound like a threat, Neil?

Neil: Phyllis, we're listening.

Phyllis: You're about to roll out a new cosmetics line for the African American consumer. It's going to be major, not just a flanker for brash & sassy.

Victoria: Where did you hear about this?

Phyllis: Not from jack. We don't discuss business.

Neil: So if you didn't hear it from jack...

Victoria: About what?

Phyllis: I don't know if you're aware of this, but Jabot is about to do the exact same thing. They're about to launch a new cosmetics line for the black consumer. And if you go up against them, you're gonna get slaughtered.

Victoria: By Jabot?

Phyllis: By Jabot, Victoria. It's what they do. They're not dipping and dabbling in a hundred different things. Whereas brash & sassy is a small oddball division of a huge conglomerate. And for you to commit to the time and the money it's going to take to develop a new brand, you're going to be eating their dust by the time you get to the starting gate. Neil: Um, Phyllis, would you mind giving us a moment alone?

Phyllis: Sure. I'll just be outside.

Victoria: You realize it could all be a ploy.

Neil: What kind of ploy? You think jack knows what we're up to?

Victoria: No, I just don't think it proves that Phyllis is trustworthy.

Neil: I don't know about that. She seemed on the up-and-up to me. But this still doesn't answer your father's question. What's the bigger risk? Having Phyllis here on our own turf where we can see her, or...

Jack: You've got to be kidding.

Davis: I assure you, it's no joke.

Jack: Satine is not worth that kind of money.

Davis: Well, maybe not to you...

Jack: I have done my homework, Mr. Davis. Satine is not a $25 million company.

Davis: As you well know, the value of a company is very subjective.

John: Well, this other bidder is obviously determined to acquire Satine.

Davis: I think that's fair to say.

Ashley: There's not a lot of companies out there with that kind of money to throw around, especially in this economy.

Jack: You know, something about this just doesn't sound right.

Davis: I'm sorry?

Jack: When I talked to Mr. Peabody just days ago, he never even mentioned another bid. As a matter of fact, he never had any interest in selling his company to anyone but Jabot. Now suddenly in the 11th hour to the fray comes another outrageously overpriced offer.

Davis: What are you suggesting, Mr. Abbott?

Jack: I am suggesting this sounds a bit bogus.

Davis: Bogus?

Jack: Is there really another offer, Mr. Davis? Or is this something you fabricated, hoping we would come back with a higher bid?

Davis: Look, I understand your concerns, and I can't dispute how this looks, but I give you my word. The counteroffer is genuine.

Jack: And this outrageous thing?

Davis: Merely a coincidence.

Jack: Yeah, right.

Davis: Okay, now back to the issue at hand. The figure currently on the table is $25 million. Are you prepared to top that?

John: No. I'm afraid we're going to pass.

Davis: Is that your final answer?

John: Yes.

Davis: Very well. I do hope there are no hard feelings.

Jack: Oh, why would there be any hard feelings? This is business, right?

Davis: Not at all. Is there a phone I could use? My cell isn't working.

John: There's one outside.

Davis: Thank you.

Ashley: $25 million.

John: I want to know who-- who in their right mind would offer that kind of money?

Ashley: Somebody with very deep pockets.

Jack: No one in their right mind. Assuming this man's on the level.

Ashley: What, you think he's lying about this company?

Jack: I'd bet my life on it. Satine is playing us. I guarantee you, he's on the phone right now with Peabody getting instructions on what to do now that we've called his bluff.

Davis: This is Charles Davis. Yes, I've got good news for you. Jabot has taken themselves out of the running. Yes, Satine is yours. Yeah, at the agreed-upon price. Good enough. No, thank you, ms. Newman. Bye.

Ashley: Newman enterprises, huh?

John: They're the other bidder.

Jack: I just heard Davis on the phone, thanking Ms. Newman.

John: Obviously Victoria.

Ashley: So what does this mean?

Jack: What the hell do you think this means? He's at it again. Whenever there's anything wrong around here, nine times out of ten Victor Newman had something to do with it, that son of a--

Ashley: Doesn't make any sense. Why would Victor want to acquire Satine?

Jack: Why? Because he was offered an opportunity to stick it to us, and he grabbed it.

Ashley: No, jack, the only cosmetics division that Newman enterprises has is brash & sassy, and that's a youth line. How does that tie in to Satine? Unless...

Jack: Unless what?

Ashley: Well, maybe they're expanding and branching out.

Jack: I should have seen this coming.

Ashley: How could you have?

Jack: Well, for starters, they fired Phyllis yesterday.

Jack: You got Jabot and Newman competing directly, and suddenly she fails the loyalty test. God, you talk about adding insult to injury, that woman has been nothing but professional with them. She'd never leak anything.

Ashley: Speaking of leaks...

Jack: Yeah, I know where you're going there. Who leaked to Newman that we were interested in Satine?

Ashley: Maybe it's just what I said before. Maybe they spread the word to other companies, and unfortunately for us, Newman was one of them.

Jack: Or maybe somebody at Jabot talked.

Ashley: What about Nikki?

Jack: No.

Ashley: Well, she's married to Victor.

Jack: No, there's no way Nikki would do something like that. Besides, she didn't know anything about this, unless you told her. Besides, she's been so wrapped up in Cassie, she's barely been in the office lately.

Jill: Larry, I thought you understood when I said let Frederick handle it! I was trying to be polite. I was trying to say a nice way, "thank you, but you're out of your league here." Which you just proved by getting caught. My God. This is exactly what Frederick told us we shouldn't do. How could you have been so stupid?

Victoria: I could have kissed the phone.

Neil: That's fantastic news, not just for us, though.

Victoria: Who else? Phyllis?

Neil: I hate to say this, but it tends to confirm her story, doesn't it? I mean, if she'd have gone to jack and told him what we were doing, would jack have left the table the way he did?

Victoria: Phyllis, could you come in here, please?

Phyllis: Sure.

Victoria: All right, here's the deal. We just acquired a small cosmetics firm, one that caters to the African American community. Boom! We have products, we have infrastructure. We have everything we need to compete with Jabot.

Phyllis: That's ingenious.

Victoria: Now you see why we have concerns.

Phyllis: No, I don't.

Victoria: If we keep you on our payroll--if-- you will be working very hard to crush Jabot. If we are successful, it will be at their expense. And we do intend to be successful. Now if that's not a conflict of interest--you being married to jack Abbott-- I don't know what is. Would you be able to handle that?

Jack: You think Drucilla is the one that leaked this all to Victor?

Ashley: It's the only thing I can come up with.

Jack: Based on our meeting yesterday? No, I never mentioned anything about buying a company.

Ashley: I told her.

Jack: When?

Ashley: A couple of weeks ago. I mentioned that we were hoping to acquire a black cosmetics firm. I'm sure she walked right out of the building, blabbed it all to Neil, Neil put two and two together that is was Satine. He told Victor. It's unbelievable.

Jack: Maybe you're wrong about this, maybe--

Ashley: No, I'm not wrong. It's the only thing that makes any sense. That woman cannot keep her mouth shut to save her life. If she has to go--

Dru: Bonjour. A little birdie told me you two were in here, and I hope you have a pen handy because I am ready to sign my contract. What's up? Did I say something wrong?
