Katie: Oh, could you pour me one of those, please?
Bill: Yes, ma'am.
Katie: Well, I figured if I wanted to be taken seriously, I might as well look the part.
Bill: Good morning, Madame C.E.O.
Katie: Not yet. (Chuckles)
Bill: Mm. Hmm. Eric's gonna take the deal.
Bill: If he doesn't, his company fails.
Katie: (Sighs) It's that simple, huh?
Bill: Yeah, it is.
Katie: Well, if that's your pitch, you might want to let me do the talking.
Bill: Mm, maybe for right now, you sh—
(Knock on door)
Bill: (Groans) (Chuckles) Justin, good timing. Come on in. You have the papers?
Justin: Ready to be signed.
Bill: Forrester Creations is about to enter the Katie Logan era.
Eric: No, no. Look at this. No, it's not working. It--none of it's working.
Donna: Okay, why don't we take a break?
Eric: Donna, no. Look, we have to finish this. We've got to finish this now.
Ridge: Dad, come on. Come on. You're head's not in this right now.
Donna: I left another message for Katie, and she still hasn't called back.
Eric: Oh, my God. The two of them are gonna be here any minute.
Brooke: Great. That doesn't give us much time to discuss Bill's proposal.
Ridge: There's nothing to discuss.
Brooke: Well, I know it's not a palatable solution, but we have to look at this.
Ridge: Logan, Forrester Creations is not for sale.
Brooke: Ridge, we have to think about our future.
Eric: We are the future of Forrester Creations -- those of us in this room and in this building. Nobody else has a claim to it.
Jackie: Wouldn't you agree, Stephanie?
Jackie: Bridget's designs. They're flawless.
Stephanie: Oh, it's beautiful. I'm sorry. I just drifted off.
Nick: You feeling all right?
Stephanie: Oh, I'm fine. Happy to be back.
Jackie: Glad to have you back.
Bridget: Of course we are. But I'm watching you. We don't want you to push yourself.
Stephanie: Well, if you hadn't pushed me, just think. I could be on an island somewhere having a martini.
Stephanie: No, I'm sorry. I kind of got some disturbing news last night.
Bridget: From your doctor?
Stephanie: No. Thorne called me.
Whip: Hey, I've got news. My media contacts have been buzzing about some big meeting over at Forrester Creations. Rumor is, Bill Spencer is involved.
Stephanie: The rumor's true. He's trying to get the company. He's given them until this morning to make a decision...
Whip: Oh, boy.
Stephanie: About it.
Bridget: Well, that will never happen. Dad won't sell that company.
Stephanie: Did you talk to your father?
Stephanie: Well, honey, I don't think he's gonna have a choice. They're liquidating assets like crazy. The company, financially, is in dire straits.
Nick: If Bill Spencer gets hold of that company, we will be, too.
Bill: Good morning, all.
Eric: Don't close the door. This won't take long.
Bill: Excellent. A man after my own heart-- getting right down to business. Justin, let's do this.
Katie: Um, Bill, why don't we, uh, take this one step at a time, you know? Uh, I'm sure this is a difficult period for Eric and his family. This couldn't have been an easy decision.
Bill: I don't see why not. I'm offering you people a hell of a deal. Eric, Ridge, what's it gonna be? You gonna take Forrester to new heights or be the biggest flameout in fashion history?
Nick: Well, up till now, bad news for Eric has been good news for us, but this, you know, this deal could make Forrester unstoppable.
Bridget: It won't even be Forrester anymore.
Nick: It really doesn't matter. It doesn't matter what the name of the company is or who owns it. The company is our competition. Jumping into bed with Spencer makes it stronger.
Jackie: Yeah, not to mention all the free publicity they'll get.
Bridget: Okay, but this is assuming my father even sells the company.
Whip: Yeah, well, from what I hear, Bridget, that's a pretty safe bet.
Stephanie: I think it is. It's a sizeable loan, honey, and if they have the assets to cover this, they're not going to have enough assets left to do the next 60 days.
Bridget: Well, I'm just gonna, you know, think positive for my father. He's gonna figure this out. He might run out of options, but my mom and dad are very, very good at thinking outside the box.
Stephanie: Right. They're the ones that-- that thinking got them into trouble in the first place.
Bridget: Oh, okay, Stephanie. Look, I love you very much, but don't blame this on my mother.
Nick: Okay, hold it. Hold it. Hold it. Easy now. Let's focus.
Jackie: (Clears throat)
Nick: Jackie M.-- This deal is our problem, too.
Jackie: Okay, we can do something. We can file a complaint. We can get an injunction.
Nick: Yeah, I don't think so, mother. We just have to hope that Forrester's strong enough to hang on.
Bill: You know what? Wait. Don't give me your answer yet.
Eric: There is no reason-- we don't--wait.
Bill: No, no, no, no, no, no, no, listen, I-I want to do this right. You deserve all the bells and whistles.
Justin: We've prepared a presentation.
Brooke: A video?
Donna: Did your father tape a posthumous victory speech?
Bill: Make the right choice, and the biggest victory to date will be yours.
Bill Sr.: Welcome to the world of Spencer Publications. I'm William Spencer, C.E.O. and founder of the largest media conglomerate on the planet.
Eric: Turn it off.
Katie: Don't you think a more personal approach might have been a good idea?
Bill Sr.: I started this company with one magazine and a dream.
Ridge: Yeah, world domination.
Bill: This story doesn't sound familiar to you?
Bill Sr.: What began as one company is now a family of businesses, each one playing an essential part in the success story that is Spencer Publications. Like any family business, we started small. As the publishing industry changed, so did we. We branched out. Spencer grew. We took control of our own distribution, marketing and advertising. We diversified and evolved. We were one of the first publishers to investigate green printing.
Ridge: Never implemented.
Bill Sr.: Anticipating the importance of the internet, we took our vision into cyberspace.
Eric: Where your underpaid anonymous bloggers could print any piece of gossip they heard.
Bill Sr.: Now with your dedication, we can go even further, achieving great things together. Welcome to the future. Welcome to the family.
Ridge: Look, if there was...
Bill sr.: Welcome...
Ridge: Some subliminal message in all this...
Bill Sr.: To Spencer Publicat--
Ridge: It sure didn't come through.
Donna: Yeah, you better have a talk with your brainwashing department.
Katie: I think Bill was trying to point out the similarities between the two companies.
Bill: Granted, Spencer is monumentally more successful--
Bill: (Sighs) Look, I am offering you a chance to be part of a winning--
Eric: If you're gonna try to make this seem like some kind of an opportunity for us, Bill--
Bill: All right, Eric, you know what? You want to be hostile, then I'll be brutally honest. Forrester is going down the toilet, and if you-- (Sighs) Okay, let's, uh, let's have some fun with this. We'll--we'll do it like it's a--it's a game show. We'll call it "The Spencer is right." Tell 'em what's behind door number one, "Dollar Bill." Behind door number one, you go down fighting, hemorrhaging money, laying off employees. You lose everything. You default on your loan, and I buy the company from the bank. Or... tell 'em what's behind door number two. Behind door number two, you sell Forrester to me right now. I pay off all your debts, give you Spencer stock, lucrative signing bonuses, and you get the added satisfaction of seeing your employees collect their paychecks for years to come.
Brooke: You would keep everybody on?
Katie: And everyone in this room.
Bill: Assuming in the bonus round you sign the non-compete clause.
Katie: The point is, nothing has to change. We go on exactly as planned. The Royalty campaign-- we have a new collection.
Eric: Which your comedian boyfriend here would own.
Justin: And distribute and promote.
Bill: You do what you do best, and I'll do what I do best. And we will all make a healthy profit. It's a win-win scenario, Eric. Katie understands that, and I think Brooke is beginning to understand that, as well, aren't you, Brooke?
Whip: (Sighs) Oh, there we go. That's what I need.
Jackie: Find anything interesting?
Whip: Uh, no, I was-- I was just, uh--
Jackie: Snooping. Interviewing surrogates?
Whip: But you're thinkin' about it.
Jackie: Nope. Owen is. (Sighs)
Whip: Kids, huh? Really? I mean, not that, you know, you and Owen wouldn't raise really great children. Oh, but then again, uh, Nick didn't turn out so well, so maybe you can try again, huh?
Jackie: Nick is a grown man. He's got children of his own. I am a grandmother, for heaven's sake.
Whip: Yeah, you'd never know it.
Jackie: Oh, thank you. Don't get me wrong. I mean, being Jack's grandmother, it is--it's the greatest joy of my life, but--
Whip: But you've been there, and you've done that.
Jackie: And Owen hasn't, and he wants to, and he would make a perfect father. (Sighs)
Whip: So you want this for Owen?
Jackie: I just don't know if I can give it to him.
Whip: Well, some people have a burning desire to have children. (Chuckles) Not me. Burning desires, yeah. I got that. Just, uh, not that particular one.
Brooke: Some of what you're saying makes sense.
Brooke: But this can't be a purely logical decision. There's a lot of feelings involved and a lot of history.
Bill: Pass on this deal, and history will be all you have left, Brooke.
Justin: Sign this agreement, and the three of you each get a million shares of Spencer stock. This morning, we were trading at $12. That's $12 million for each of you. I've also prepared a schedule of stock options for the rest of your family.
Katie: Thorne, Felicia, Marcus, Rick. They're all included. All the grandkids, everyone. No one is left out.
Bill: You can come to work every day and feel that same pride of ownership.
Ridge: Yeah, we'll only own a sliver.
Eric: We would have no say in decisions made.
Donna: We'll be employees.
Bill: I think you can trust that your own sister will treat you fairly.
Eric: Katie has done a great job here at Forrester, but C.E.O.? That job belongs to Ridge. We will answer only to Ridge.
Katie: So you're saying if Ridge is C.E.O., you'll take the deal?
Bill: No. I appreciate your loyalty to your son, Eric. Loyalty is important to me, as well. And it's the one thing I could never count on from Ridge. There is only one person in this room that I trust. Katie will be loyal to me and have your best interests at heart, as well. She is the only acceptable choice as C.E.O.
Katie: We can make this work. I promise.
Bill: You know, you should really consider yourselves lucky. I could have saddled you with any suit from my stable. But Katie is personally connected to the business. She wants to see Forrester achieve greatness again. Accept her as C.E.O., and I will give you all the resources to do just that.
Brooke: Bill, Justin, could we speak to Katie alone for a moment, please?
Brooke: Katie's right. I think we can make this work.
Brooke: But you have to listen to me and do exactly as I say.
Stephanie: Jackie? Is your mother still around?
Nick: No, no. Is there something I can help you with?
Stephanie: Thanks, no.
Nick: Stephanie. (Sighs) I'm sorry. I feel bad about Forrester, too.
Stephanie: The really sad part? It didn't have to happen. You know, I-I told Eric-- I warned him about this, but... (Sighs) he's a loyal guy, and he-- he just put his loyalty in the wrong place, and now the whole company's gonna pay the price.
Nick: Well, what do you think? You think Eric will take the deal?
Stephanie: God, that's so hard to imagine. Spencer owning the company? Kate Logan as the C.E.O.? I mean, based on what?
Nick: Siding with Bill has its perks.
Stephanie: Yeah. Yeah.
Katie: Bill is not going to change the terms of the deal.
Brooke: He doesn't have to.
Ridge: Because we're not taking it.
Brooke: Wait. Just hear me out. I know a way that will satisfy everybody. Katie... (Sighs) I'm your sister. You're a part of our family, and we love you. And if it seems like we're upset, we are, because we don't want to see you get hurt. You put a lot of faith in this man that came in and brought a lot of discord into your life. He made you a lot of promises. He wants to make you C.E.O. and I could see how you would want to take on that challenge. You want to prove yourself to everybody. And I'm sure you could do it. But you know what? It's not fair. Ridge has been groomed for this position his whole life. He can do it. Just hand him the reins. You won't have to teach him anything. He'll just come in, and he'll do the job.
Katie: Brooke, I understand what you're saying, but that's not what Bill wants.
Brooke: I know that's not what he wants. He wants you in that position. He wants you in that chair. So fine. You will be the C.E.O. But we will all be in this together as a family making the decisions and loyal only to each other. So what do you say? Can you do that?
Katie: Brooke, of course I'm loyal to you. I always have been. Do you really think that Bill would have given Donna or Marcus anything? Uh, Steffy, Thomas? Their needs are important because they matter to me. You're my sisters, and I love you. I love all of you, and I want this company to succeed. So does Bill.
Brooke: Okay. So there's really no conflict. I mean, it sounds like we all want the same thing, right?
Brooke: And you could be assured that Ridge and Eric are gonna do the best for the company. Right?
Katie: Of course.
Brooke: Yes. And you're going to agree with their decisions, I'm sure.
Katie: Well, I would expect to be part of the process.
Brooke: And you will be. You'll be C.E.O. And what does a C.E.O. Do? They delegate. They motivate. They hire the right people for the right jobs. They give them enough expression and enough freedom to make the right choices and do the best job possible, and that's what you would be doing. I mean, it would be a mistake to micromanage an artistic company like this. It would be a disaster. Are we all in agreement? Katie would be the C.E.O. She would be the public face of Forrester, our liaison to Bill Spencer. And you, Ridge, you would be doing the day-to-day operations, and if we had any important meetings, we would do it right here in this very office, not at Spencer headquarters. So what do you think? Can you do that? You'll be able to be loyal to us, to your family, over anybody else?
Brooke: (Sighs) Eric and Ridge? Donna? What do you say?
Bill: All right, people, I have other dragons to slay today. Do we have a deal or not?
Ridge: One condition. Katie will be the C.E.O., locked in long-term. We just don't want any of your Spencer clones milling around this place ever. So she will be our connection, our only connection, to Spencer Publications. Agreed?
Bill: You've got it.
Eric: You will put that in writing.
Bill: Done. You're all in agreement?
Justin: We'll get the new papers drawn up and the funds transferred.
Bill: I have every confidence in all of you and in your new C.E.O. Here's to the new Forrester Creations, a division of Spencer Publications. Welcome aboard.
